1. Agreement to these terms
These Terms of Service (“Terms”) are a legal agreement between you and DigitalCommerceAssets L.L.C, doing business as BareFeedback (“BareFeedback,” “we,” “us,” or “our”), concerning barefeedback.com and the BareFeedback service.
By creating an account, purchasing a subscription, or using BareFeedback, you agree to these Terms and our Privacy Policy. If you use BareFeedback for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into a binding contract to use BareFeedback. You must provide accurate account information and keep it current.
You are responsible for safeguarding your login credentials and for activity under your account. Notify us promptly at hello@digitalcommerceassets.com if you suspect unauthorized access. You may not share access in a way that circumvents plan limits or impersonate another person or organization.
3. The service and plans
BareFeedback provides tools for collecting, managing, prioritizing, and displaying customer feedback. Features and limits may vary by plan. Current plan descriptions are shown on our pricing or billing pages.
We may improve, add, modify, or discontinue features. We will use reasonable efforts to provide notice if a change materially reduces the core functionality of a paid plan. References to planned or “future” features are informational and are not a guarantee that a feature will be released by a particular date—or at all.
You are responsible for the devices, internet access, integrations, permissions, notices, and consents needed to use the service lawfully.
4. Subscriptions, renewals, and billing
Paid plans and automatic renewal
Paid plans are billed monthly in advance unless a different billing period is displayed at checkout. Your subscription automatically renews at the end of each billing period until canceled. You authorize us and Stripe, our payment processor, to charge the payment method associated with your subscription for recurring fees and applicable taxes.
Plan changes
Upgrades may take effect immediately and may result in a prorated charge or credit, as shown during the billing flow. Downgrades generally take effect at the end of the current billing period. When a downgrade takes effect, features or limits of the new plan apply; you may need to reduce usage above those limits.
Cancellation
You may cancel through the available account billing controls or by contacting us. Cancellation takes effect at the end of the current paid billing period. You will retain paid access until then unless the account is terminated for a violation of these Terms.
Refunds and failed payments
Payments are non-refundable and we do not provide credits for partial billing periods, except where required by law or expressly stated otherwise. If payment fails, we may retry the charge, ask you to update your payment method, limit paid features, move the account to the Free plan, or suspend access.
Taxes and price changes
Prices do not include taxes unless stated otherwise. You are responsible for applicable taxes other than taxes on our income. We may change prices prospectively; for an existing subscription, we will provide reasonable advance notice before a new price applies.
5. Your content and public boards
“Customer Content” means project details, feedback, comments, uploads, imports, branding settings, and other information submitted to BareFeedback by or for you. As between you and BareFeedback, you retain ownership of Customer Content.
You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, display, transmit, and otherwise use Customer Content only as needed to provide, secure, support, and improve the service and comply with law.
You represent that you have the rights and permissions needed to submit Customer Content and direct us to process it. You are responsible for your board settings, your notices to feedback submitters, and the legality and accuracy of Customer Content.
If you make a board public, its content may be viewed, copied, or indexed by others. Do not publish confidential information, trade secrets, sensitive personal information, or content you do not have permission to share.
We may remove or restrict content that violates these Terms, law, or the rights or safety of others.
6. Acceptable use
You may not use BareFeedback to:
- break the law or infringe intellectual-property, privacy, publicity, or other rights;
- submit unlawful, fraudulent, defamatory, harassing, hateful, exploitative, or malicious content;
- collect sensitive information without appropriate authority, notice, and safeguards;
- send spam, phishing, malware, or deceptive communications;
- probe, scan, attack, disrupt, overload, or bypass security or usage controls;
- reverse engineer or copy the service except where a restriction is prohibited by law;
- use automated means to scrape or access the service without our written permission;
- resell, sublicense, or provide the service to others except as expressly allowed; or
- use BareFeedback to build or train a competing product without our written permission.
7. BareFeedback ownership and feedback to us
BareFeedback and its software, design, documentation, trademarks, logos, and other materials are owned by us or our licensors and are protected by law. Except for the limited right to use the service under these Terms, no rights are transferred to you.
If you send us ideas or suggestions about BareFeedback, you allow us to use them without restriction or compensation. This does not give us ownership of Customer Content submitted through your projects.
8. Third-party services
BareFeedback uses Stripe for payment processing and may link to or interoperate with customer websites or other third-party services. Those services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services, content, availability, or practices.
9. Availability and changes
We aim to keep BareFeedback reliable, but maintenance, emergencies, internet conditions, third-party outages, and security events may interrupt access. We do not guarantee uninterrupted or error-free operation. We may impose reasonable technical limits to preserve security, stability, and fair use.
10. Suspension and termination
You may stop using BareFeedback at any time. We may suspend or terminate access if you materially violate these Terms, fail to pay amounts due, create security or legal risk, or use the service in a way that could harm BareFeedback or others. Where practical, we will provide notice and an opportunity to cure before terminating a paid account.
After termination, your right to use the service ends. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, limitations of liability, indemnity, and governing law—will survive. We may delete Customer Content after a reasonable period, subject to legal requirements and backup retention.
11. Disclaimers
To the fullest extent permitted by law, BareFeedback is provided “as is” and “as available.” We disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the service will be uninterrupted, secure, error-free, or meet every requirement; that data will never be lost; or that feedback collected through the service will be accurate, lawful, or useful. Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.
12. Limitation of liability
To the fullest extent permitted by law, neither BareFeedback nor its owners, officers, employees, contractors, affiliates, or licensors will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities, arising from or related to the service or these Terms, even if advised that such damages are possible.
To the fullest extent permitted by law, our total liability for all claims arising from or related to the service or these Terms will not exceed the greater of (a) the amount you paid us for the service during the 12 months before the event giving rise to the claim or (b) US $100.
These limitations do not apply where liability cannot lawfully be limited or excluded.
13. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless BareFeedback and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, losses, and reasonable costs arising from your Customer Content, your violation of these Terms or law, or your infringement of another person’s rights. We will provide reasonable notice of a covered claim and allow you to control the defense, provided that you may not settle a claim in a way that admits fault by or imposes obligations on us without our written consent.
14. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any dispute arising from or relating to these Terms or BareFeedback will be brought exclusively in the state or federal courts located in or serving Middlesex County, New Jersey, and each party consents to their jurisdiction and venue.
Before filing a claim, you and BareFeedback agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief.
15. Changes to these Terms
We may update these Terms as the service or applicable requirements change. We will post the revised Terms and update the “Last updated” date. If a change is material, we may provide additional notice. Changes apply prospectively. Continued use after the effective date of updated Terms means you accept them.
16. General terms
These Terms and the Privacy Policy are the entire agreement between you and us concerning BareFeedback unless we sign a separate agreement. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, sale, or transfer of the service. There are no third-party beneficiaries to these Terms.
